Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Infiniti Vault mobile application (the "App") operated by Infiniti Studio LLC ("we," "our," or "us"). By creating an account or using the App, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated here by reference. If you do not agree, do not use the App.

1. Eligibility

You must be at least 13 years old to use the App. The App is not intended for children under 13, and we do not knowingly allow them to create accounts. By using the App, you represent that you meet this requirement and that the information you provide is accurate and complete.

2. Your Account

When you create an account, you are responsible for:

• Providing accurate registration information (including your full name, email address, and optionally your phone number and Instagram handle);

• Maintaining the confidentiality of your login credentials; and

• All activity that occurs under your account.

Notify us promptly at derekludwick@infinitivault.com if you believe your account has been accessed without authorization. We may suspend or terminate accounts that violate these Terms.

3. Description of the Service

The App provides recording-studio clients and artists with access to:

• Recording session files uploaded by studio engineers on your behalf;

• Studio check-in via QR code;

• Push notifications about your sessions and account activity;

• A profile, connected social information, and the Artist Momentum features (including scoring, leaderboards, and profile cards); and

• Optional connection of your Instagram account to enrich your Artist Momentum profile.

We may add, change, or remove features at any time.

4. Subscriptions and Purchases

The App may offer paid subscriptions and in-app purchases, managed through Apple's App Store and processed via RevenueCat. Prices, billing cycles, and renewal terms are disclosed at the point of purchase. Subscriptions renew automatically unless cancelled.

Deleting your account through the App does not automatically cancel an active Apple subscription. To cancel, open the iOS Settings app, tap your name, tap Subscriptions, and cancel Infiniti Vault. Purchases are subject to Apple's terms, and refunds are handled by Apple in accordance with its policies.

5. User Content

"User Content" includes audio files, profile pictures, and other materials uploaded by you or by studio staff on your behalf. You retain ownership of your User Content. You grant us a limited, non-exclusive license to store, process, and display your User Content solely to operate and provide the App to you (for example, to deliver your session files and display your profile).

You are responsible for ensuring you have the rights to any content associated with your account. You must not upload content that is unlawful, infringing, or that you do not have permission to use.

6. Acceptable Use

You agree not to:

• Use the App for any unlawful purpose or in violation of these Terms;

• Attempt to access another user's account, files, or data;

• Interfere with, disrupt, or attempt to gain unauthorized access to the App, our servers, or related systems;

• Reverse engineer, scrape, or misuse the App or its APIs; or

• Use the App to harass, abuse, or harm others.

7. Instagram / Meta Connection

Connecting your Instagram account is optional. If you choose to connect it, you authorize us to access and use certain Instagram data through the Instagram/Meta APIs as described in our Privacy Policy, including your Instagram account ID, username, account type, profile picture, follower count, media count, and recent media information and engagement metrics (such as like and comment counts) where available and permitted by Instagram/Meta.

You acknowledge and agree that:

• Our use of information received from the Instagram/Meta APIs adheres to the Meta Platform Terms and the Instagram Platform Policy, including any applicable limitations on use, storage, and sharing of that data;

• Instagram data is used only to verify your connected account, display your connected profile, refresh basic account metrics, and calculate an optional, capped social-engagement component of your Artist Momentum score;

• We do not post content, send or read direct messages, read or manage comments, or use Instagram advertising or insights permissions on your behalf;

• You may disconnect your Instagram account at any time, after which we stop refreshing your Instagram data and revoke or delete stored Instagram access tokens where technically possible; and

• You may request deletion of Instagram-related data as described in our Privacy Policy and Section 12 below.

No affiliation. Infiniti Vault is not affiliated with, endorsed by, sponsored by, or administered by Meta Platforms, Inc. or Instagram. "Instagram" and "Meta" are trademarks of their respective owners. Your use of Instagram remains subject to Instagram's and Meta's own terms.

8. Artist Momentum and Scoring

Artist Momentum scores, tiers, leaderboards, and profile cards are provided for informational and engagement purposes only. Scores are calculated using factors that primarily reflect your studio activity within the App, with Instagram engagement metrics (if you connect Instagram) used only as an optional, capped, and weighted component. Follower count, where used, may be capped or weighted lower than engagement.

We make no guarantee regarding any score, ranking, or placement, and we may change, recalculate, cap, normalize, or adjust the scoring methodology at any time without notice. Scores do not represent any promise of services, status, or value.

9. Intellectual Property

The App, including its design, software, text, graphics, logos, and the Infiniti Vault and Infiniti Studio names and marks, is owned by Infiniti Studio LLC and protected by applicable intellectual property laws. Except for the rights expressly granted to you, no rights are transferred to you. You may not copy, modify, distribute, or create derivative works from the App without our prior written consent.

10. Third-Party Services

The App relies on third-party services, including Supabase, Cloudflare R2, Expo, RevenueCat, and Meta/Instagram, each of which has its own terms and privacy practices. We are not responsible for the acts, omissions, or policies of these third parties.

11. Disclaimers

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DATA (INCLUDING FILES OR INSTAGRAM METRICS) WILL ALWAYS BE AVAILABLE OR ACCURATE.

12. Account and Data Deletion

You may delete your account and all associated cloud data directly within the App by navigating to Account → Edit Account → Delete Account. Deletion is permanent and immediate, and this action cannot be undone. You may also request deletion of Instagram-related data associated with your account by contacting us at derekludwick@infinitivault.com. See our Privacy Policy for full details.

13. Termination

We may suspend or terminate your access to the App at any time, with or without notice, if we believe you have violated these Terms or to protect the App, our users, or third parties. Upon termination, your right to use the App ceases. Sections that by their nature should survive termination (including ownership, disclaimers, limitation of liability, and indemnification) will survive.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, INFINITI STUDIO LLC AND ITS OWNERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, PROFITS, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE APP. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE APP WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE CLAIM, OR (B) USD $100.

15. Indemnification

You agree to indemnify and hold harmless Infiniti Studio LLC from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the App, your User Content, or your violation of these Terms or any applicable law or third-party rights.

16. Governing Law

These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to its conflict-of-laws principles. You agree to the exclusive jurisdiction of the state and federal courts located in Pennsylvania for any dispute arising out of or relating to these Terms or the App.

17. Changes to These Terms

We may update these Terms from time to time. We will notify you of any changes by posting the updated Terms on this page and updating the "Last updated" date above. Your continued use of the App after changes take effect constitutes acceptance of the revised Terms.
